1. Definitions
Business Training & Consulting Services Ltd. is also referred to, in the rest of this web page, and other web pages comprising our website, as "BT&CS Ltd", "BT&CS", "BTCS", "we", "our", "us", "our company", or "our business" the above terms and acronyms refer to the BT&CS Ltd, with a registered office at 159 Chiltern Court, Baker Street, London NW1 5SS.
We encourage prospective clients to read our terms and conditions prior to booking our training courses or expressing interest for our services (workshops and consulting).
"Client", "customer", "client side" refers to a business/ legal entity, to which we offer our training and consulting services and any related products. "You" or "your" may also refer to a person/ individual, who has been designated as point of contact between us and the corporate client for information exchange and coordination purposes, related with our training courses, workshops, or consulting services.
“Booker” refers to the person making the booking with BT&CS, on behalf of a client attending the course.
"Our website", or "this website" refers to the web pages comprising our website https://www.btcslts.co.uk.
“Terms and Conditions” - this refers to the terms of usage and conditions under which all purchases are pursued, and the website is used.
“Booking Form” refers to the agreement between BT&CS and its clients, about prospective delivery of training or consulting services, including facilitated workshops.
“Joining Instructions” refers to a set of instructions that are given to a client upon receipt of payment, regarding training event-related details. Each training event has a unique ID <EVEnnnnnn> where each n is a number.
“Working Days” refers to business days between Monday and Friday, excluding Public Holidays.
2. Language Requirements for Attending Our Courses
Our on-site, classroom, and virtual classroom training courses are instructor-led and delivered only in English.
Course delegates must be:

Proficient in the English language
-
Able to complete the following tasks/ assignments without language support from us:
-
Pre-course reading and any exercises assigned (if/ when applicable)
-
Exercises assigned during the training sessions, including individual and team exercises
-
Evening assignments/ "homework” assigned by the course instructor as part of enhancing comprehension and understanding of the BoK (Body of Knowledge) contained in the delegate’s pack (course workbook)

Course exam.

3. Course Selection and Suitability
From time to time, staff members of BT&CS, such as course Trainers, Administrators, or Event Coordinators (including our Associates), may, in good faith, recommend specific training courses or learning solutions; in such cases, where we have made recommendations, we did so having the best interests of the course delegates in mind.
However, the client should bear in mind that before choosing a course, the course delegates’ training needs must be assessed. This is known as "training needs analysis" and the purpose of the assessment is to determine the gap between the current level of knowledge and skills and the desired level of same.
The result of the above analysis will help select the right training course, to meet the client's business requirements.
The client accepts that, it is their responsibility to ensure that, the training course that was selected, booked, and paid for, meets the needs and requirements of the attending delegates. If you need advice, please contact us to discuss your training needs in more detail.
4. Course Registration
4.1 Booking on Behalf of the Course Delegates
When a designated person (on the client’s side) books the course on behalf of the course delegates, the above person is responsible to bring these Terms and Conditions (T&C) to the attention of the delegates concerned.
It is the course “booker’s” responsibility to ensure that delegates:

Receive the relevant information, such as joining instructions, dates and times, venue details, course updates/ changes (if any), etc.

Meet the eligibility criteria for attending the course, such as:
-
Proficiency in the English language
-
Any prerequisites for course attendance, which are mentioned on the web page providing details for each training course.

5. Course Cancellations Made By Clients
Our corporate clients should take into consideration the fact that, once a course has been booked and paid for, we start planning the course delivery. This includes activities related with course administration and logistics, such as:

Selecting and assigning a Trainer, to deliver the course during the agreed dates, at the venue selected by the client (on-site, or in other location) or in virtual classrooms
-
Making hotel reservations, and planning the trip for the Trainer
-
Sending the training materials to the course delegates.
Any course cancellation, for whatever reason, results in administrative costs for our business.
N.B. Course-related fees, mentioned in this web page, are subject to UK Value-Added Tax (VAT) @ 20%.

This tax is known, in other countries, as Goods and Services Tax (GST).
This tax is:

Mandated by law for services provided in the UK and internationally by our VAT registered Ltd company

Added to the net course registration fees

Added to the net administrative fees, mentioned below, for course cancellation

A letter to our : Business Training & Consulting Services Ltd, 159 Chiltern Court, 188 Baker Str. Marylebone, London NW1 5SS, for the attention of (FOA): The Course Administration Team.
The date we receive the cancellation notice is considered as "calendar day zero".
In case of cancellation of a registered course, received at least (21) calendar days before the scheduled course start date, the client has the following two options:

Can ask for refund of the course fees paid upon registration, in which case:
-
An administrative fee of 10% of the total course fees paid will be deducted
-
The remaining 90% of the total course fees will be credited to the client's account within 7 calendar days from the date of course cancellation.
-
-
Alternatively, the total amount of course fees paid can be credited towards the same course, if re-scheduled 3 calendar months from the original course start date.
In case of cancellation of course registration received between fourteen (14) and twenty (20) calendar days before the scheduled course start date, the client has the following two options:

Can ask for refund of the course fees paid upon registration, in which case:
-
An administrative fee of 20% of the total course fees paid will be deducted
-
The remaining 80% of the total course fees will be credited to the client's account within 7 calendar days from the date of course cancellation.

Alternatively, the total amount of course fees paid can be credited towards the same course, if re-scheduled 3 calendar months from the original course start date.
In case of cancellation of course registration received between seven (7) and fourteen (13) calendar days before the scheduled course start date, the client has the following two options:

Can ask for refund of the course fees paid upon registration, in which case:
-
An administrative fee of 30% of the total fees paid will be deducted
-
The remaining 70% will be credited to the client's account within 7 calendar days from the date of course cancellation
-

The above 70% refund of the total course fees paid can be credited towards the same course, if re-scheduled within 90 calendar days from the original course start date
-
In this case, the client must pay the remaining balance of 30% for the re-scheduled course fees upon registration.
-
In case of cancellation of course registration received in less than seven (7) calendar days before the scheduled course start date, the client has the following two options:
-
Can ask for refund of the course fees paid upon registration, in which case:
-
An administrative fee of 40% of the total course fees paid will be deducted
-
The remaining 60% will be credited to the client's account within 7 calendar days from the date of course cancellation.

The above 60% refund of the total course fees paid can be credited towards the same course, if re-scheduled within 90 calendar days from the original course start date
-
In this case, the client must pay the remaining balance of 30% for the re-scheduled course fees upon registration.

6. Course Rescheduling
Customer requests for rescheduling (changing course dates) for a training course they have registered for, are subject to the time frames, fees, and have the same alternative options mentioned above for "Course Cancellations".
7. Training Materials
7.1 Pre-course Materials
Any pre-course training materials, required to be read before the course start date, will become accessible online upon confirmation of payment of the course fees.
A dedicated link is received by each course delegate via e-mail, with instructions for accessing the pre-course materials, in PDF format, online.
7.2 Course Materials
Our course fees typically include the course workbook, and, in some courses, additional handouts. Such training documents are:

Accessed by delegates online, via a link.
The above training materials become accessible by the delegates before the course starts at the latest before 09.00 on the 1st training day.
If, for any reason, the courseware has not been accessed on time (before the 1st training session starts), please contact Customer Services to provide access to the above courseware at the earliest opportunity.
8. Course Attendance
8.1 Promptness & Completion of Exercises & Other Assigned Tasks
Course delegates are expected to:
-
Arrive promptly, or join the online course promptly, 09.00 on training day (unless otherwise agreed between course delegates and the assigned Trainer
-
Attend the scheduled training sessions, notifying the assigned Trainer in case of delayed arrival/ joining virtual training or any scheduled absence
-
Return promptly after the scheduled coffee breaks/ lunch break
-
Complete the exercises assigned during the day
-
Complete the evening “homework,” including any tasks/ exercises assigned by the Trainer
-
Attempting the "mock/ practice exam" sitting the certification exam
-
Prepare for sitting the course exam.
8.2 Non-Attendance or Partial Attendance
Non-attendance of any course, for any reason whatsoever, is considered as course cancellation without notice. In this case payment of the course fees, plus VAT, is due in full.
Partial attendance of any course, for any reason whatsoever, is established when a delegate does not participate in scheduled training sessions at least 90% of the time. In this case, the delegate is not entitled to any refund for the course, or part of it, that he/ she did not attend; partial attendance may be considered as non-attendance.
9. Course Delivery
9.1 On-site Classroom Training at The Client’s Premises, or Other Selected Site/ Venue
It is the client’s responsibility to ensure the following:

Selection, and booking of, the training venue for the course delegates
-
Preparation/ setup, and availability of the venue for course delivery during the scheduled training dates/ times
-
Compliance with government guidelines regarding COVID-19, if/ when applicable
-
Catering for the course participants, including, e.g., beverages, lunch, etc.
-
Availability of the necessary equipment, such as projector, flip chart stand/ whiteboard, etc. and stationery, such as multi-colour markers, required for course delivery
-
Notification of the course delegates, regarding the course schedule, and any pre-course assignments to be completed
-
Access to facilities, such as toilets, and set up required for delivery of the training course
-
Access to the venue from the Trainer between 08.30 and 17.30 during scheduled training days.
We reserves the right to cancel, postpone, or discontinue the course in case the course
instructor:
-
Determines that the venue, equipment, or training environment/ conditions are not “fit for the intended purpose,” and/ or
-
Although he/ she has raised any relevant issues to the client's point of contact for the course, no action has been taken to resolve the above issues.
9.2 Changes to Course Pricing, Registration Terms & Conditions, Schedule, Venue, and Delivery Channel
We reserve the right to change the following course features/ details, at any time, without notice or liability:

: any quotation issued to the client is valid for a period of 14 calendar days from the date of issue. After that period has expired, we reserve the right to reconsider the quoted price

Delivery channel, e.g., to switch from on site, classroom, instructor-led training to online, virtual classroom, instructor-led course delivery if circumstances justify such course of action.

We aim to:

Use any reasonable endeavours to avoid training course changes, such as the ones mentioned above

Notify the client, affected by such changes, any changes are made.
Our liability will be limited to the refunding of any fees paid, in respect of the course

We shall not be held responsible for any incidental or consequential loss arising whatsoever.
9.3 Course Agenda, Timetable & Schedule
The agenda, timetable, and schedule of training courses, delivered by our internal instructors or associate instructors, are for general guidance purposes, and may be subject to change.
Errors and Omissions in Course Details
The following errors and/ or omissions shall be subject to correction, without any liability on our part:

Material typographical errors, such as errors in the course pricing, and dates
-
Material errors, or omissions, e.g., in the course details, such as pricing, and dates, sales literature, administrative documents, course materials, invoices, or other documents relevant to a course, on any website maintained and managed by us.
9.4 Confirmation of Course Details
The course details, as applicable, will be confirmed upon booking.
We reserve the right to:
-
Cancel, or reschedule, any course, when this is deemed necessary and appropriate course of action, advising the client as soon as the above change becomes known/ is confirmed
-
Change any part of a published training course, in case circumstances, beyond our control, affect the above part and hinder its completion.
9.5 Course Re-scheduling
In case when courses must be rescheduled, due to unforeseen circumstances, such as trainer sickness, every endeavour will be made to:
-
Provide replacement trainer, or reschedule the course
-
Offer the client suitable, and mutually agreed, alternative options to complete the training.
We will not be liable for delegates’ expenses incurred due to course cancellation, or other changes to the course schedule.
10. Course Exams
10.1 Re-scheduling Exams
Unless written cancellation is received from us within the specified timeframes mentioned below, the following fees apply per course delegate cancelling and re-scheduling the exam.
Exam cancellations and request for re-scheduling received by us:

At least fourteen (14) calendar days, the scheduled exam date, are not subject to any exam-related administrative fees
-
Between seven (7) and thirteen (13) calendar days, the scheduled course exam date, are subject to an administrative fee of £50 plus VAT@20%, payable upon cancellation and before sitting the exam, non-refundable
-
Between the scheduled course exam date, and six (6) calendar days before the exam date are subject to an administrative fee of £75 plus VAT@20%, payable upon cancellation and before sitting the exam, non-refundable.

10.2 Deferring Practitioner-Level Exams
Upon commencement of a training course, we accept the fact that, occasionally, individual delegates may wish to defer taking a Practitioner-level exam to a later date, for personal or other reasons.
Delegates scheduled to sit the exam, and wishing to defer and re-schedule it, must inform us a.s.a.p. via e-mail, send to examcancellation@btcsltd.co.uk
In this case, the delegate will be subject to a fixed administrative fee of £50 + VAT@20%, payable upon request for deferral and before the re-scheduled exam date, non-refundable.
The re-scheduled exam must be taken within 30 calendar days from the originally scheduled date.
11. Course Pricing, Payment, and Expenses
11.1 Course Pricing
The prices posted and published on our website, unless otherwise stated, exclude Value Added Tax (VAT), which is payable in GBP (£) at a rate of 20%, regardless of the delegates' country of residence, the country where classroom training takes place, or the course delivery channel (including online virtual course delivery).
We list the correct VAT amount on the invoice issued to our clients, as required by statute.
All price quotations are valid for 14 calendar days from the date they are first sent to the client. Such quotations exclude VAT. If the corresponding purchase is pursued, as required by statute, VAT will be applied at the point of purchase and feature within the sales invoice.
The published prices exclude any travel, accommodation or living expenses which the client may incur in attending unless specifically mentioned on the Booking Form. For more information refer to section 11.5 below.
If a third party vendor, certification body, or service provider alters their examination fee or material cost, BT&CS reserves the right to adjust the relevant training course prices to reflect such alterations.
Training event prices listed on correspondence, brochures, leaflets, and materials belonging to BT&CS are not legally binding due to anticipated price fluctuations; they are advisory at the time of public dissemination and do not constitute as part of a legal agreement.
11.2 Course Payments
We apologise for any inconvenience caused by not accepting credit card payments.
The course fee(s), including VAT, are payable in full, immediately upon booking confirmation. Payments shall be made electronically, by direct credit, to our business bank account, the details of which will be contained in our invoice, send to the corporate client’s designated person.
Payments can be made from:

UK business bank accounts, for corporate clients whose company is registered in the UK
-
Non-UK accounts for international corporate clients. In the latter case the client side will incur the bank charges associated with the payment of the course fees.
All payments of fees related to training courses and consulting services delivered by our instructors or associates, will be made in pound sterling (currency code GBP, currency symbol £)
-
In cases when the above fees are paid using client accounts in a currency different than GBP, same will be converted by the corporate client's bank to GBP; we cannot accept any responsibility for fluctuations in the currency exchange rates, which are outside of our control.
-
Pricing, and/ or registration terms and conditions, are subject to change without notice, due to the dynamic nature of our business and of the training industry.
Corporate clients should take the following into consideration:

Any overdue payments of course fees will be subject to payment charge at 5% over the Bank of England base rate
-
Where a Purchase Order (PO) is issued, it must clearly state the purchase order number, course dates, full invoice amount, including VAT, and the contact details for invoicing.
-
When multiple courses are booked on the same booking form, full payment for all courses is required immediately upon confirmation, the start day of the first course
-
Examination results and course certificates will be issued when the full fee for the course(s) has been paid.
-
Administration fees for cancellations are payable immediately upon invoicing.
All payments shall be made in cleared funds, without any deduction or set-off and free and clear of and without deduction for or on account of any taxes, levies, imports, duties, charges, fees and withholdings of any nature now or hereafter imposed by any governmental, fiscal or other authority save as required by law.
If a customer is compelled to make any such deduction, it will pay to the receiving Party, such additional amounts as are necessary to ensure receipt of the full amount which that party would have received but for the deduction.
All payments must be received, regardless of payment terms, prior to an examination being issued or delivered by the Company
It is the responsibility of the Client to ensure that the person that approved the purchase of a product, has the correct purchasing authority.
The terms of this agreement override any other terms of business, or purchase conditions, put forward by the client.
11.3 Encryption
Not applicable, because all payments shall be made electronically, by direct credit, to our business bank account, the details of which are included in the invoice issued to the client.
11.4 Refunds
When we issue a refund to the client:
-
The refund will be processed using the same payment method the original payment was made.
-
Although we aim to refund the correct amount to the client's account 7 calendar days from the date it is agreed, in some cases it may take up to 10 working days to be processed
-
We will not be liable for exchange rate fluctuations or bank charges for refunds made overseas.
Deposits, banking fees, and course examination vouchers (if applicable) are non-refundable.
11.5 Trainer’s Expenses for Onsite Training, Paid by the Client
To simplify the coverage of Trainer expenses, we prefer that the client's side books, and pays directly for, accommodation and transportation as described below.

In this case the Trainer's details, such as name, location of departure from, arrival at (return), etc. will be communicated from us to the client
-
Any incidental expenses related to local transportation will be paid by the Trainer, and be refunded to the Trainer by our business.
11.5.1 Accommodation
Ideally the Trainer should stay at a hotel as close as possible to the venue where the on-site training will take place.
The hotel reservation should cover the period of the Trainer's hotel stay:

Checking-in the afternoon/ evening the scheduled course start date
-
Checking-out in the morning of the last scheduled course date.
11.5.2 Transportation
Public transportation should be arranged from the corporate client for our Trainer delivering the on-site course.
The Trainer's name, location of departure from, location of arrival at (return), etc. will be communicated from us to the client.
11.5.3 Fixed Onsite Training Expenses Policy
Alternatively, if the client does not plan for the Trainer’s accommodation and transportation, our fixed onsite training expense policy will apply, plus VAT@20%.
Our policy ensures that you do not incur any unexpected costs, as we understand that it is important for you to be able to see the total cost of your chosen course, prior to committing to a purchase.
We are committed to being upfront and clear about our onsite training expenses.
The benefits of our Fixed Onsite Training Expense Policy include:

Only one PO is required to secure value for money.

12. Data Privacy & Confidentiality
Our company strictly adheres to best practice of personal data protection.

13. Security of Personal Belongings
The security of personal belongings, brought by delegates attending our training courses, is the sole responsibility of the above delegates.
We do not accept any responsibility for loss or damage of personal belongings that may occur during the course.









14. Intellectual Property Rights
14.1 Copyrights
All intellectual property rights associated with our course materials shall remain the property of our company.
The client agrees not to reproduce, sell, lend or copy the course materials or use them in any other way except
as sources of information for course delegates' personal reference purposes.
14.2 Intellectual Property
Our website and all information posted on it, without limitation, are protected by international copyrighting and trademarks that are subject to intellectual property rights.

Therefore, all intellectual property belongs to us.
We do not accept responsibility for intellectual property not showing affiliation to our company used during any of its training courses. Any intellectual property used in a training course, including the course itself is protected by limitations laid out in international copyright law, and is subject to intellectual property rights.
You may not copy, sell, reproduce, distribute, download, modify, display, repost, transmit or otherwise use any intellectual property posted of this website. Information on this site is provided “as is” without any warranties. We do not accept responsibility of content of any third-party sites that may be referenced by BT&CS.
The use of manually operated or automated devices or processes, for the purposes of monitoring this website, or copying its content, or replicating this site to any server is prohibited.
15. Warranty and Liability
Our liability for loss or damage shall be limited to a claim for same.
The maximum aggregate liability will be the fees for the course out of which the loss or damage has arisen.
We will not accept responsibility and/ or liability for any of the following:

Personal injury caused by negligence of course delegates or any third party
-
Indirect, special or consequential loss, including loss of anticipated profit or loss of data, howsoever arising, even if it has
been advised of such potential loss

Damages resulting from computer viruses arising from software installed on customer computer systems.
16. Force Majeure
We shall not be in breach of this Terms & Conditions if the provision of training or other services is delayed, postponed, re-scheduled, or cancelled due to any circumstances beyond our reasonable control including:

Acts of God, including but not limited to, fire, flood, earthquake, storm, snow, hurricane or other natural disaster
-
Sickness, war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalisation, government sanction, blockage, embargo, labour dispute, strike, lockout or interruption or failure of electricity or telephone services.
Delegates must ensure that they can attend the training courses for which they are scheduled to attend. We will not be held liable for non-attendance of the above courses, whatsoever the reason may be.
17. Assignment of Interest
We may assign our interests in all or part of this agreement.
The customer may not assign or transfer this contract without the express written permission of a Director of BT&CS Ltd.
18. Deviation from These Terms and Conditions (T&Cs)
No deviation from these terms and conditions will be allowed without the express written permission of a Director of the BT&CS Ltd.
No other form of communication, either verbal or posted on our website, overrides these Terms and Conditions.
